Edoardo Ricci in PromoRE joint venture’s launch

The Firm advised the real estate agency RE/MAX and the concept store Presso© in the launch of platform economy joint venture PromoRE S.r.l..

The team led by the partner Matteo Spataro and comprising Valentina Gismondi and Giovanni Gerbini handled all regulatory, governance and contractual matters in the creation and start up of the venture.

PromoRE is the first prop-tech start up to develop in Europe a digital platform aimed at connecting the demand and supply of all household-related products and services, namely property’s buyers with vendors and industry players offering relevant goods such as furniture, lighting, appliances, electronics, home entertainment and multy-utility.

Edoardo Ricci advised Cassiopea S.p.A. on share capital increase

A team composed of our partner Gabriele Prenna and associate Giovanni Gerbini assisted Cassiopea S.p.A., a pharmaceutical company focused on biotechnology and listed on the SIX Swiss Exchange, on recently completed share capital increase.

Company’s shareholders were offered 750.000 newly issued ordinary shares with nominal value of € 1.00 and subscription price of € 31.00 each.

The offer period started on 3 June and ended on 17 June with the full subscription of the new capital for a total value of € 23. 250.000 including share premium, resulting in the capital increase up to the nominal value of € 10.750.000.
